Welcome to Wealthfolio Connect. These Terms of Use (“Terms”) govern your access to and use of the Wealthfolio Connect service, including our APIs and related services (collectively, the “Service”). Wealthfolio Connect is a cloud service operated by Teymz Inc. that enables brokerage account connections and device synchronization for the Wealthfolio app.

These Terms supplement the Wealthfolio Terms of Use, which cover the desktop application. By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

• “Teymz Inc.,” “we,” “us,” or “our” refers to the operator of the Service.
• “Wealthfolio Connect” or “Service” refers to the cloud service providing brokerage connections and device synchronization.
• “Wealthfolio app” refers to the desktop and mobile application for personal investment tracking that uses Wealthfolio Connect.
• “You” or “User” refers to the individual accessing or using the Service.
• “Team” refers to a household or group account that may include multiple members.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

3. Account Registration

3.1 Account Creation

To access the Service, you must create an account by providing:

• A valid email address
• Your full name
• A secure password (for email/password authentication)

You may also register using third-party authentication providers (such as Google or Apple).

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Person Per Account

Each account is for a single individual. You may not share your account credentials with others. Teams and households should use our team features to grant access to additional members.

4. Service Description

Wealthfolio Connect is a supporting cloud service for the Wealthfolio app that provides:

• Brokerage account connections through our integration partner (SnapTrade)
• Multi-device synchronization with end-to-end encryption
• Household collaboration features for sharing account access across family members

Portfolio tracking, performance analysis, and investment data visualization are provided by the Wealthfolio app, not this Service. Please refer to the Wealthfolio Terms of Use for terms governing the app.

4.1 Third-Party Integrations

The Service relies on third-party providers to deliver certain functionality:

• SnapTrade for brokerage account connections
• Stripe for payment processing
• Supabase for authentication and related data storage

Your use of these integrated services is also subject to their respective terms and policies.

4.2 No Financial Advice

The Service is for data synchronization purposes only. We do not provide:

• Investment advice or recommendations
• Tax, legal, or financial planning advice
• Buy, sell, or hold recommendations for any securities

You should consult with qualified professionals before making financial decisions. We are not responsible for any investment decisions you make.

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer the following subscription plans:

Plan Details:

• Connect Essentials: The power user foundation. Sync up to 5 broker connections to your local database using a pure BYOK (Bring Your Own Key) model where you plug in your own API keys for AI and Market Data.

• Connect Duo: Built for the modern household. One subscription for two people with account-level sharing controls. Up to 12 broker connections and 8 devices across both members.

• Connect Plus: (Coming Soon) The “Zero Friction” experience. Everything included—no messing with API keys. Access high-quality, licensed market data feeds and integrated AI out of the box with unlimited broker sync (fair use policy applies).

Important Notes:

• Wealthfolio stays free and local-first. Connect is optional. Cancel anytime—your local database stays.
• “Unlimited broker sync” means normal personal/household use. We throttle runaway refresh loops and abuse.
• “Professional market data included” refers to the licensed data tier we can redistribute. It may be delayed/EOD depending on the exchange/asset and licensing.
• “AI included” means an included provider with fair-use protections (rate limiting/model routing). It’s not “unlimited compute,” it’s “works out of the box without BYOK.”

Pricing and features are subject to change with reasonable notice.

5.2 BYOK (Bring Your Own Key)

On Connect Essentials and Connect Duo plans, we do not charge for AI insights or market data because you use your own third-party accounts (such as OpenAI, Anthropic, or market data providers). This keeps your monthly cost low while giving you control over your data providers.

5.3 Fair Use Policy

On Connect Plus, you can sync as many brokerage accounts as you need. However, we reserve the right to throttle or limit accounts that exhibit automated or excessive usage patterns (such as programmatic access or extremely high refresh rates) to ensure service quality for all users.

5.4 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed through Stripe
• You authorize us to charge your payment method for subscription fees
• All fees are exclusive of applicable taxes unless stated otherwise

5.5 Free Trial

• New users may be eligible for a free trial period
• At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel
• You may be required to provide payment information to start a trial

5.6 Cancellation

• You may cancel your subscription at any time through the billing settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• Upon cancellation, you retain access until the end of your paid period

5.7 Refund Policy

• Refunds are generally not provided for subscription fees
• In cases of billing errors or exceptional circumstances, please contact us at contact@wealthfolio.app
• We reserve the right to issue refunds at our sole discretion

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for:

• Connecting your own brokerage accounts to the Wealthfolio app
• Synchronizing data across your devices
• Sharing account access with household members
• Lawful purposes consistent with these Terms

6.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Share your account credentials with others
• Impersonate any person or entity
• Use the Service to transmit malware, viruses, or harmful code
• Circumvent any security measures or access controls
• Connect brokerage accounts that you do not own or have authority to access
• Use the Service for commercial purposes not expressly authorized

6.3 Enforcement

We may, at our sole discretion:

• Remove or disable access to any content that violates these Terms
• Suspend or terminate your account for violations
• Report illegal activities to law enforcement
• Take any other action we deem necessary to protect the Service

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, code, and content, is owned by Teymz Inc. and protected by copyright and trademark laws. You may not copy, modify, distribute, or create derivative works without our express permission.

7.2 Your Data

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to:

• Store, process, and transmit your data to provide the Service
• Create backups and archives of your data
• Share your data with third-party integrations as necessary (e.g., SnapTrade)

This license terminates when you delete your account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation or compensation to you.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

9.1 “As Is” Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF DATA

9.2 No Guarantee of Accuracy

We do not guarantee:

• The accuracy, completeness, or timeliness of data retrieved from brokerages
• That the Service will meet your specific requirements
• Uninterrupted or error-free operation
• That defects will be corrected

Data synchronized through the Service may be delayed, incomplete, or contain errors. You should verify important information through your brokerage directly.

9.3 Third-Party Services

We are not responsible for the availability, accuracy, or performance of third-party services integrated with our platform.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEYMZ INC. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Investment losses or financial damages
• Damages arising from unauthorized access to your account
• Damages arising from third-party services or integrations

10.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amounts you paid to us in the 12 months preceding the claim, or
• One hundred US dollars ($100)

10.3 Basis of the Bargain

The limitations in this section reflect a fair allocation of risk and are a fundamental basis of the agreement between you and Teymz Inc.

11. Indemnification

You agree to indemnify, defend, and hold harmless Teymz Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Data you provide to the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through the Wealthfolio app settings
• Contacting us at contact@wealthfolio.app to request account deletion

Upon termination, your data will be deleted in accordance with our Privacy Policy.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• Your account is inactive for an extended period
• We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately
• We may delete your data (subject to legal retention requirements)
• Provisions that by their nature should survive will continue to apply

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at contact@wealthfolio.app to attempt to resolve any dispute informally.

13.2 Governing Law

These Terms are governed by the laws of the jurisdiction in which Teymz Inc. is incorporated, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in the jurisdiction of Teymz Inc.’s principal place of business.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the “Last Updated” date
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teymz Inc. regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.

15.5 No Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Teymz Inc.
